Acceptance of Terms
By accessing or using the OpenClaw Provider website, dashboard, or managed deployment services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Description of Service
OpenClaw Provider offers managed deployment and hosting of OpenClaw, an open-source AI assistant platform, on cloud infrastructure. Our Service includes server provisioning, automated deployment, security hardening, health monitoring, automatic updates, and SSL certificate management. We deploy OpenClaw to a dedicated virtual private server (VPS) that you own and control, using the cloud provider of your choice.
Account Responsibilities
You are responsible for:
- Providing accurate and complete information when creating your account and keeping it up to date.
- Maintaining the security of your account credentials, including your password and any SSH keys associated with your deployment.
- All activity that occurs under your account, whether or not you authorized it.
- Ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction.
You must notify us immediately at support@openclawprovider.com if you suspect unauthorized access to your account.
Payment Terms
The Service is offered on a subscription basis with monthly and annual billing options. All payments are processed securely through Stripe. By subscribing, you agree to the following:
- Subscription fees are billed in advance at the beginning of each billing period.
- If you upgrade your plan during a billing period, the cost difference will be prorated for the remainder of that period.
- If you downgrade your plan, the change will take effect at the start of your next billing period.
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- We do not offer refunds for partial billing periods. If you cancel mid-cycle, you will retain access to the Service until the end of your paid period.
Prices are subject to change with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Acceptable Use
You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. Specifically, you may not:
- Use the Service for any illegal activity, including but not limited to fraud, harassment, or distribution of harmful content.
- Attempt to interfere with, compromise, or disrupt the Service or the servers and networks connected to it.
- Resell, redistribute, or provide access to the Service to third parties without an Agency plan or prior written authorization.
- Use the Service to send unsolicited bulk messages (spam) or conduct phishing attacks.
- Reverse-engineer, decompile, or disassemble any proprietary components of the Service.
We reserve the right to suspend or terminate accounts that violate this Acceptable Use policy.
Server and Data Ownership
You own your server and all data stored on it. OpenClaw Provider manages the deployment infrastructure on your behalf but does not claim ownership of, or rights to, your data, configurations, conversations, files, or any content processed by your OpenClaw instance. Your data remains under your control at all times.
If you cancel your subscription, your server and all data on it remain yours. We will cease management operations but will not delete, modify, or access your server after cancellation.
Service Level
We provide the Service on a best-effort basis and strive to maintain high availability for both our management platform and your managed deployments. Our Service includes:
- Health monitoring of your OpenClaw instance with automatic alerting.
- Automatic restarts and recovery for common failure scenarios.
- Regular security patching and OpenClaw version updates.
We do not guarantee a specific uptime percentage. The availability of your OpenClaw instance also depends on your chosen cloud provider's infrastructure. We are not responsible for downtime caused by your cloud provider, network outages beyond our control, or modifications you make directly to your server outside of our management platform.
Intellectual Property
OpenClaw is an open-source project released under the MIT License. Your use of OpenClaw is governed by the terms of that license. The OpenClaw Provider platform, including our website, dashboard, deployment automation, branding, logos, and proprietary tools, is owned by OpenClaw Provider and protected by applicable intellectual property laws. You may not copy, modify, or distribute our proprietary materials without prior written consent.
Limitation of Liability
To the maximum extent permitted by applicable law, OpenClaw Provider and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you have paid to us for the Service during the twelve (12) months preceding the event giving rise to the claim.
Termination
Either party may terminate the Service relationship at any time:
- By you: Cancel your subscription through your dashboard or by contacting support. Cancellation takes effect at the end of your current billing period.
- By us: We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or engage in conduct that we reasonably believe is harmful to the Service or other users.
Upon termination, your server and all data on it remain yours. You will retain full root access. We will stop providing management services, including monitoring, updates, and support.
Changes to Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by sending an email to the address associated with your account. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you may cancel your subscription before the changes take effect.
Governing Law
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration or the courts of competent jurisdiction.
